Eight clauses and four schedules

This page summarises the standard framework. The executed agreement, with its schedules, is the operative document and takes precedence.

01
Appointment and territory

Chemtive appoints the distributor to promote and resell the agreed product range within a defined territory and market segment, set out in Schedule 1 of the executed agreement. Appointment may be exclusive, non-exclusive or segment-exclusive; the schedule says which.

Exclusivity is conditional on the minimum annual volume in Schedule 2. Where volume falls materially short for two consecutive quarters, exclusivity converts to non-exclusive on ninety days’ written notice.

02
Distributor obligations

The distributor shall maintain adequate technical and commercial resource for the range, keep stock at the levels agreed in Schedule 2, and provide quarterly reporting on sell-out volumes by end market.

The distributor shall not modify, dilute, repack or relabel product without written consent, and shall pass the current safety data sheet to every customer with the first delivery and on each revision.

03
Chemtive obligations

Chemtive shall supply the range at the transfer prices in Schedule 3, provide technical and regulatory documentation in the languages of the territory, and give sixty days’ notice of any product discontinuation.

Chemtive shall provide product and application training at least annually, and technical support for customer trials in the territory at no charge to the distributor.

04
Pricing, orders and payment

Transfer prices are reviewed annually and may be adjusted on ninety days’ notice, or earlier where a feedstock index in Schedule 3 moves beyond the stated threshold. The distributor sets its own resale prices.

Orders are placed against the agreed forecast. Payment terms, credit limit and any security are set out in Schedule 4. Deliveries may be suspended where the credit limit is exceeded.

05
Trade marks and materials

The distributor is granted a non-exclusive, non-transferable licence to use the Chemtive name and wordmark solely to promote the range in the territory, in accordance with the published brand guidelines.

Marketing material referencing Chemtive requires written approval before publication. The licence ends automatically on termination, and the distributor shall cease all use within thirty days.

06
Compliance and anti-corruption

The distributor shall comply with the Chemtive code of conduct for suppliers, the anti-corruption policy, and all applicable trade control and sanctions regimes. It shall not appoint a sub-distributor or agent without written consent and prior due diligence.

The distributor shall maintain end-use records for restricted materials and make them available on request. Breach of this clause is a material breach permitting immediate termination.

07
Term, termination and consequences

The initial term is three years, renewing automatically for successive twelve-month periods unless either party gives six months’ written notice before the end of the then-current term.

Either party may terminate immediately on insolvency, on a material breach not remedied within thirty days of notice, or on a substantiated breach of the compliance clause. On termination, Chemtive may repurchase saleable stock at the invoiced transfer price less freight.

08
Governing law and disputes

The agreement is governed by the law of the Netherlands. Disputes are subject to the exclusive jurisdiction of the courts of Rotterdam, save that either party may seek urgent interim relief in the territory.

The parties shall attempt resolution at senior commercial level, and thereafter by mediation, before commencing proceedings.
